Bawag Secures Approval for €1.6 Billion Acquisition of PTSB.

In a decisive move, shareholders of Permanent TSB (PTSB) in Ireland have given strong backing to a €1.6 billion acquisition by Austria’s Bawag Group, with an overwhelming 91% voting in favor. This approval propels the deal closer to completion, pending further authorization from the Irish High Court and the European Central Bank.

The PTSB board endorsed Bawag’s proposal of €2.97 per share following a thorough sales process. This offer represents nearly double the bank’s share value prior to the initiation of the sale process. Ireland’s Finance Minister, Simon Harris, has also expressed support for the transaction, highlighting its potential benefits.

Despite the strong approval, some shareholders have voiced concerns, arguing that the offer undervalues PTSB and lamenting the potential loss of Irish ownership. Nonetheless, the proposal comfortably surpassed the required 75% shareholder approval threshold, allowing the acquisition process to advance to its final regulatory stages.

The approval signals a significant turning point for PTSB, as it prepares to join forces with Bawag Group, pending the necessary regulatory endorsements. The transaction reflects a strategic alignment and a substantial vote of confidence from the majority of the bank’s shareholders.
